Lumuxo Books

Please read these Terms of Service ("Terms") carefully before using Lumuxo Books. These Terms constitute a legally binding agreement between you (the "Client," "you," or "your company") and Lumuxo ("we," "us," "our"). By creating an account, accessing, or using Lumuxo Books, you agree to be bound by these Terms.

1. Description of Service

Lumuxo Books is a cloud-based software-as-a-service ("SaaS") platform providing business finance, payroll, human resources, GST compliance support, and accounting tools designed for small and medium enterprises ("SMEs") operating in India. Features include, without limitation, payroll processing, invoicing, expense and income tracking, GST filing support, loan tracking, attendance management, and financial statement generation.

Lumuxo Books is a tool to help you manage your business records. It is not a substitute for professional advice from a qualified Chartered Accountant, tax professional, or lawyer, and you remain solely responsible for the accuracy of the data you enter and for your compliance with all applicable laws, including tax, labour, and corporate laws.

2. Eligibility and Account Registration

You must be authorized to act on behalf of the business you are registering. You agree to provide accurate, current, and complete information during registration and to keep such information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3. User Roles and Access

Lumuxo Books supports multiple user roles within a single company account — including Leadership, HR, Accountant, and Chartered Accountant ("CA") roles — each with different levels of access to your company's data. It is your ("Leadership" role's) responsibility to:

  • Determine who within your organization or its external advisors (including your CA) is granted access, and to which role;
  • Revoke access promptly when a team member's or advisor's relationship with your company ends;
  • Ensure that anyone you grant access to is authorized to view or handle the information accessible through that role.

Lumuxo is not responsible for actions taken by users you have granted access to.

4. Subscription, Fees, and Billing

4.1. Lumuxo Books is offered on a subscription basis, with a base monthly fee that includes a set number of user logins and employee records, plus additional per-user and per-employee charges for usage beyond the included limits, as described on our pricing page at the time of your subscription.

4.2. New accounts may be eligible for a free trial period, the length of which will be communicated at signup. We reserve the right to modify or discontinue free trial offers at any time.

4.3. Billing and payment collection may currently be conducted manually (e.g., via invoice, bank transfer, or other means communicated to you) and is subject to change as our payment processing capabilities evolve. You agree to pay all fees associated with your subscription in a timely manner.

4.4. We reserve the right to change our pricing with reasonable advance notice to existing subscribers.

4.5. Fees are exclusive of applicable taxes (including GST) unless stated otherwise.

5. Your Data and Responsibilities

5.1. You own your data. All company, employee, financial, and business data you enter into Lumuxo Books ("Your Data") remains your property.

5.2. You are solely responsible for:

  • The accuracy, completeness, and legality of all data entered into the platform;
  • Verifying calculations, tax filings, and compliance outputs (including but not limited to GST computations, TDS, Professional Tax, PF/ESI figures, and payroll calculations) with a qualified professional before relying on them for statutory filings or compliance purposes;
  • Maintaining appropriate backups of critical data, in addition to any backup or export features we provide.

5.3. Certain figures and fields within the platform (for example, Professional Tax and TDS deductions) are entered manually by you or your team and are not automatically calculated by Lumuxo Books. You acknowledge that Lumuxo Books does not independently verify the correctness of manually entered statutory figures.

5.4. Certain historical or estimated data (such as figures entered under any "Historical Data" or trend-visualization features) is provided for informational and visualization purposes only and does not form part of your official books of account.

6. Acceptable Use

You agree not to:

  • Use Lumuxo Books for any unlawful purpose or in violation of any applicable law;
  • Attempt to gain unauthorized access to any part of the platform, other companies' data, or our underlying systems;
  • Reverse-engineer, decompile, or attempt to extract source code from the platform, except as permitted by law;
  • Use the platform to transmit any harmful code, malware, or unauthorized data collection tools;
  • Resell, sublicense, or provide access to the platform to any third party outside your own organization and its authorized advisors, without our prior written consent.

7. Intellectual Property

Lumuxo Books, including its software, design, branding, and underlying technology, is owned by Lumuxo and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the platform itself — only a limited, non-exclusive, non-transferable right to use it in accordance with these Terms.

8. Third-Party Services

Lumuxo Books relies on third-party infrastructure and service providers (including but not limited to cloud hosting, database, and email delivery providers) to operate. We select these providers with care, but we are not responsible for outages, data handling practices, or issues arising from these third parties beyond our reasonable control.

9. Disclaimers and Limitation of Liability

9.1. Lumuxo Books is provided on an "as is" and "as available" basis. We do not guarantee that the platform will be uninterrupted, error-free, or completely secure, though we take reasonable measures to maintain reliability and security.

9.2. To the maximum extent permitted by applicable law, Lumuxo and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the platform.

9.3. Nothing in these Terms is intended to exclude liability that cannot be excluded under applicable Indian law, including in cases of gross negligence or willful misconduct.

9.4. Lumuxo Books does not provide legal, tax, or accounting advice. Any compliance-related output (GST calculations, payroll deductions, financial statements, etc.) should be reviewed and verified by a qualified professional before being relied upon.

10. Data Export and Termination

10.1. You may terminate your subscription at any time in accordance with the cancellation process communicated to you.

10.2. Upon termination, you will have a reasonable period (to be communicated at the time of termination) to export Your Data using the platform's data export features before your account and associated data may be deleted from our active systems.

10.3. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or fail to pay applicable fees, with notice where reasonably possible.

11. Changes to These Terms

We may update these Terms from time to time. We will make reasonable efforts to notify you of material changes. Continued use of Lumuxo Books after such changes constitutes your acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dindigul, Tamil Nadu.
